TERMS AND CONDITIONS OF SALE

Winncom Technologies, Corp.

Last Updated: October 1, 2026

PLEASE READ THESE TERMS CAREFULLY. BY PLACING AN ORDER THROUGH TIDS WEBSITE, YOU ACCEPT AND ARE BOUND BY THESE TERMS. YOU REPRESENT THAT YOU ARE ORDERING FOR BUSINESS PURPOSES AND THAT YOU HAVE AUTHORITY TO BIND THE ENTITY ON WHOSE BEHALF YOU ORDER. THESE TERMS CONTAIN WARRANTY DISCLAIMERS, A LIMITATION OF LIABILITY, AND A ONE-YEAR PERIOD TO BRING CLAIMS.

1. Application of These Terms; Acceptance.

These Terms and Conditions of Sale (these “Terms”) govern all sales of goods (“Goods”) by Winncom Technologies, Corp. (“Seller,” “we,” or “us”) through [www.winncom.com; store.winncom.com; cala.winncom.com; store-cala.winncom.com] (the “Website”) to business customers (“Buyer” or “you”). These Terms, together with our order confirmation and our Website Terms of Use and Privacy Policy, are the entire agreement between the parties regarding the Goods and supersede all prior or contemporaneous understandings and all of Buyer’s purchase-order or other terms, which we expressly reject. We may update these Terms at any time in our sole discretion by posting the updated Terms, and the version in effect when you place an order governs that order. No other modification of these Terms is effective unless in writing and signed by an authorized officer of Seller.

2. Orders; Order Acceptance and Cancellation.

Your order is an offer to purchase the Goods listed in it under these Terms. All orders are subject to acceptance by us, and we are not obligated to sell until we accept. We may accept an order by confirming it or by shipping the Goods, and we may reject, cancel, or limit the quantity of any order, or require identity or credit verification, in our sole discretion — even after we send an order confirmation. Once accepted, an order may not be canceled by Buyer except with our prior written consent.

3. Product Information; Availability.

We strive for accuracy, but product descriptions, images, specifications, and availability shown on the Website may contain errors and are subject to change without notice. We do not warrant that descriptions or other Website content are accurate, complete, current, or error-free. All Goods are subject to availability, and we may discontinue, or limit the quantities of, any Goods at any time. Seller may modify Goods or substitute comparable Goods before shipment, provided the substituted Goods are materially similar in function.

4. Prices; Pricing Errors; Taxes.

Buyer agrees to pay Seller the amount set forth on the invoice or order confirmation for the Goods, including all applicable sales tax and shipping charges. Prices are those in effect when the order is placed, are subject to change without notice, and exclude taxes and shipping, which are added at checkout. Despite our efforts, pricing, typographical, or other errors may occur; we reserve the right to correct any such error and to cancel or refuse any order arising from it, even after an order confirmation has been sent. Buyer is responsible for all sales, use, excise, and similar taxes, except taxes on Seller’s net income. If Buyer claims a tax exemption or purchases for resale, Buyer must provide a valid resale or exemption certificate before or at the time of purchase; absent a valid certificate, Seller will charge applicable tax.

5. Payment.

Payment in full is due and payable on the date specified in the invoice. Buyer will pay interest on all past-due amounts at the lesser of 2% per month or the maximum rate permitted by applicable law. If Buyer defaults in any payment, Seller may, without prior notice, declare all invoiced amounts immediately due and payable, and Buyer will reimburse Seller for all costs of collection, including reasonable attorneys’ fees, court costs, and collection fees, whether or not suit is filed. Unless Seller has approved credit terms in writing, payment must be received before we accept an order. We accept the payment methods shown at checkout and may use third-party payment processors. By submitting payment information, you represent that it is true and that you are authorized to use the payment method, and you authorize us and our processor to charge the full order amount, including taxes and shipping. Buyer must notify Seller in writing of any billing dispute within ten (10) days after the applicable invoice or charge, and Buyer may not initiate any chargeback or payment reversal except to the extent required by law. We may require prepayment, or suspend delivery of any Goods, if any amount is past due, and Buyer will not withhold or set off any amount due. Buyer grants Seller a security interest in all Goods purchased under these Terms to secure all of Buyer’s payment obligations to Seller, and Buyer will execute any documents reasonably necessary to perfect that interest.

6. Shipping; Title and Risk of Loss.

Delivery is F.O.B. Seller’s facility in Solon, Ohio, USA. Unless otherwise specified by Buyer, Seller will ship the Goods by common carrier of Seller’s choice, and Buyer will pay all shipping and handling charges. Title and risk of loss pass to Buyer upon Seller’s tender of the Goods to the carrier. Shipping and delivery dates are estimates only and are not guaranteed, and Seller is not liable for any delay, loss, or damage in transit. Seller will use its standard methods for packaging the Goods and may make partial shipments, each of which constitutes a separate sale.

7. Inspection; Returns (RMA).

Buyer must inspect the Goods upon receipt and is deemed to have accepted them unless Buyer notifies Seller in writing of any Nonconforming Goods within thirty (30) days after delivery. “Nonconforming Goods” means only Goods that differ from those ordered or whose label or packaging incorrectly identifies their contents. For timely-noticed Nonconforming Goods, Seller will, in its sole discretion, replace them or credit or refund the price; these are Buyer’s sole and exclusive remedies for Nonconforming Goods. All other returns require a Return Material Authorization (“RMA”) number obtained from Seller, and no return will be accepted without one. To be eligible for return or exchange without a restocking fee, Goods must be unopened; an open-box fee equal to 15% of the purchase price will be charged on any opened item (which must be in new condition with all original components, documentation, packaging, and warranty cards), unless the item is defective. No returns or exchanges are allowed after thirty (30) days from the shipping date, shipping and handling charges are not refundable, and used, scratched, or damaged equipment, cables, enclosures, custom-made products, and special-order items cannot be returned. Certain Goods are sold non-cancelable and non-returnable (NC/NR) as designated at the time of sale, and opened electronic or static-sensitive Goods are not returnable for credit once opened. To be eligible for any credit, returned Goods must have remained in Buyer’s possession and control since delivery, and Seller may reject any return it cannot verify as originating from Seller. Buyer pays return shipping and bears the risk of loss in transit; approved refunds are issued to the original payment method.

8. Limited Warranty; Disclaimer

Seller warrants to Buyer that, for one (1) year from the date of shipment, Goods manufactured by Seller will be free from defects in materials and workmanship. This warranty does not apply to Goods that are misused or damaged by improper installation or operation, vandalism, acts of God, or other causes beyond Seller’s reasonable control, and is void if the Goods are altered, tampered with, or repaired by anyone other than Seller or its authorized representative. Seller’s sole liability and Buyer’s sole and exclusive remedy is repair or replacement of the defective Goods, at Seller’s option, provided Buyer obtains an RMA number and returns the Goods shipping prepaid. For Goods not manufactured by Seller, Seller passes through any applicable manufacturer’s warranty and is not otherwise responsible, and such Goods are provided “AS IS” by Seller. Buyer must notify Seller of any warranty claim within the warranty period and promptly after discovering the defect. THIS WARRANTY IS IN LIEU OF ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. EXCEPT FOR THE EXPRESS WARRANTY ABOVE, SELLER MAKES NO WARRANTY OF ANY KIND, INCLUDING ANY WARRANTY OF TITLE OR AGAINST INFRINGEMENT, AND DISCLAIMS ALL WARRANTIES FOR ANY THIRD-PARTY PRODUCTS, WHETHER EXPRESS OR IMPLIED.

9. Limitation of Liability.

SELLER’S MAXIMUM AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, WILL NOT EXCEED THE PURCHASE PRICE OF THE GOODS GIVING RISE TO THE CLAIM. IN NO EVENT WILL SELLER BE LIABLE FOR ANY SPECIAL, INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, LOST PROFITS OR REVENUE, OR LOSSES FROM BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THESE LIMITATIONS APPLY EVEN IF ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

10. Compliance; Export; Permitted Use.

Buyer will comply with all laws applicable to its purchase, use, and resale of the Goods, including U.S. export-control and economic-sanctions laws, and all applicable manufacturer resale, end-user, channel, and use restrictions, and will not export, re-export, or divert the Goods to any prohibited destination or denied or restricted party. Buyer is the importer of record for any cross-border shipment it directs. The Goods are not designed or authorized for use in life-support, aviation, nuclear, or other high-risk applications, and Buyer assumes all risk of, and will indemnify Seller against any claim arising from, any such use. Buyer will indemnify Seller against any claims, losses, and expenses arising from Buyer’s breach of these Terms, misuse, resale, installation or integration of Goods, violation of law, or failure to comply with manufacturer restrictions.

11. Accounts; Website Use.

If Buyer creates an account, Buyer is responsible for keeping its credentials confidential and for all activity under its account, and will provide accurate and current information. These Terms incorporate and are part of our Website Terms of Use and Privacy Policy, which govern use of the Website and our handling of data. Buyer will use the Website only for bona fide business purchasing and will not misuse it.

12. Force Majeure.

Seller’s performance is excused for the duration of any delay caused by circumstances beyond Seller’s reasonable control, including acts of God, fire, power failure, war or civil insurrection, labor disputes, governmental acts, or any law, order, or regulation, and including epidemics, carrier or supply-chain disruptions, and telecommunications failures. The affected party will give prompt written notice of the event.

13. Governing Law; Jurisdiction; Limitation of Actions.

These Terms are governed by the laws of the State of Ohio, USA, without regard to conflict of laws principles. The state and federal courts located in Ohio have sole and exclusive jurisdiction, and each party irrevocably submits to that jurisdiction. Any suit arising out of or relating to these Terms must be commenced within one (1) year after the cause of action accrues. The U.N. Convention on Contracts for the International Sale of Goods does not apply. EACH PARTY WAIVES ANY RIGHT TO A JURY TRIAL IN ANY DISPUTE ARISING OUT OF OR RELATING TO THESE TERMS. BUYER WAIVES ANY RIGHT TO BRING OR PARTICIPATE IN ANY CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION AGAINST SELLER.

14. General.

Assignment. Buyer may not assign these Terms or any order without Seller’s prior written consent; Seller may assign freely, and any prohibited assignment is void. Notices. We may give notice by email or by posting to the Website; notices to Seller must be sent to Seller at 28900 Fountain Parkway, Unit B, Solon, Ohio 44139. Electronic communications satisfy any requirement that a notice be in writing. Waiver. No waiver is effective unless in a signed writing, and no failure or delay in exercising any right operates as a waiver. No Third-Party Beneficiaries. These Terms benefit only the parties and their permitted successors and assigns. Independent Contractors. The parties are independent contractors. Severability. If any provision is held invalid or unenforceable, the remaining provisions remain in full force and effect. Survival. All provisions that by their nature should survive, including payment obligations, warranty disclaimers, limitations of liability, indemnities, governing law, jurisdiction, and limitation of actions, survive any cancellation, return, expiration, or termination.
